1. Accounts & workspaces
Access to the cloud portal is invitation-based. When we provision your company we create a private workspace (your own tenant database) and an administrator login. You are responsible for the users you invite into your workspace, for keeping login credentials confidential, and for all activity under your accounts. Tell us promptly at admin@techiecrm.com if you suspect unauthorised access.
You must provide accurate registration details (company, contact name, email, address) and keep them current.
2. Free trial
New workspaces may receive a 7-day free trial. One trial is available per company / per machine for the desktop application; a trial cannot be reset by re-registering or reinstalling. When the trial ends the workspace is placed on the plan you selected (or read-only until a plan is chosen). Trial data is kept for a reasonable period after expiry so you can continue on a paid plan without loss.
3. Plans, seats & billing
Paid plans (currently Entrepreneur, Team, Business, Corporate) are priced per user per month as shown on our pricing page at the time of purchase, in the currency stated there, exclusive of applicable taxes. Each plan has limits (users, database size, modules). If your usage exceeds a limit we will notify you and may move your workspace to the next plan or ask you to reduce usage.
- Subscriptions renew monthly until cancelled. Fees are invoiced in advance and non-refundable except where required by law.
- You may cancel at any time from your workspace or by contacting us; access continues to the end of the paid period.
- Unpaid invoices may result in suspension after notice (see §9).
- Prices may change on 30 days' notice; changes apply from your next renewal.
4. Add-ons (SMS, email)
Optional metered add-ons, such as an SMS number and per-message usage, are billed in addition to your plan at the rates shown in your workspace. You are responsible for lawful use of messaging features, including obtaining any consent required from recipients and honouring opt-outs. Email sent from your own email identity is sent through your mail provider under your configuration.
5. Your data
You own your data. Everything you and your users enter into your workspace (clients, contacts, notes, sales, cases, documents and messages, together "Customer Data") remains yours. We process it only to provide, secure and support the Service, and as described in the Privacy Policy. We act as a data processor / service provider for Customer Data; you are the controller and are responsible for having the right to collect and use it.
- Each workspace is a separate database; we do not commingle Customer Data between customers.
- You can export your data at any time using the Service's export and backup features, and may request a full export on termination.
- After termination we retain Customer Data for 30 days so you can export it, then delete it from live systems; encrypted backups roll off on their retention schedule.
- Data conversion from another CRM is performed one-way and read-only against your source; we never modify your source system.
6. Desktop application license
Subject to these Terms we grant you a non-exclusive, non-transferable license to install and use the TechieCRM desktop application on machines you control, activated with a license key issued to your workspace. Licenses are per machine (with reasonable transfer between machines) and may be validated periodically online. You may not reverse-engineer, circumvent licensing, or redistribute the application. Updates may be delivered automatically; security updates may be mandatory.
7. Acceptable use
You agree not to use the Service to: violate any law; send spam or unsolicited messages; store or transmit malicious code; infringe others' rights; attempt to gain unauthorised access to the Service or other customers' data; probe, scan or overload our systems; or resell the Service without our written agreement.
8. Support & availability
Bug-fix support is included on all plans. Additional support entitlements (for example a number of support cases per year on Business, or a quoted agreement on Corporate) are as described for your plan. We aim for high availability but, unless a written service-level agreement says otherwise, the Service is provided without an uptime guarantee. Planned maintenance will be notified where practical.
9. Suspension & termination
We may suspend or restrict access if: fees are overdue after notice; we reasonably believe there is a security risk or a breach of §7; or we are required to by law. We will try to give notice and to lift the suspension once the issue is resolved. Either party may terminate on 30 days' notice; we may terminate immediately for material breach not cured within 14 days of notice. §5 (data return), §10–§14 survive termination.
10. Intellectual property
The Service, its software, design, documentation and trademarks are owned by TechieCRM or its licensors. Except for the rights expressly granted here, no rights are transferred. Feedback you give us may be used without obligation.
11. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. You are responsible for backing up Customer Data (the Service provides tools to do so) and for the results obtained from its use.
12. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.
13. Changes to the Service or Terms
We improve the Service continuously and may add, change or retire features. We may update these Terms; if a change is material we will notify workspace administrators by email or in-app at least 14 days before it takes effect. Continued use after the effective date constitutes acceptance. The version you accepted is recorded on your registration.
14. Governing law
These Terms are governed by the laws of the Province of British Columbia, Canada and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located there have exclusive jurisdiction, subject to any mandatory consumer-protection rights where you live.
